CLIENT OPERATING STANDARDS

ZOOP COLLECTIVE, INC., A DELAWARE CORPORATION, DOING BUSINESS AS "DOOZ"

Effective Date: June 15, 2026

These Client Compliance & Fulfillment Guidelines ("Guidelines") describe the operational, compliance, moderation, fulfillment, and risk management standards applicable to campaigns, products, and services offered through the Dooz Platform.

These Guidelines are incorporated by reference into the Client Terms of Service and form part of the contractual relationship between Dooz and each Client.

These Guidelines are intended to promote:

customer trust;

legal compliance;

responsible publishing;

successful fulfillment;

payment processing compliance;

fraud prevention;

operational consistency; and

the long-term integrity of the Platform.

Because legal requirements, payment processor standards, industry practices, and operational needs evolve over time, Dooz may revise these Guidelines periodically. Continued participation on the Platform constitutes acceptance of the then-current version.

Unless otherwise defined herein, capitalized terms have the meanings assigned in the Client Terms of Service.

1. Scope

These Guidelines apply to every Client, Campaign Runner, publisher, studio, writer, artist, licensor, rights holder, manufacturer, fulfillment partner, and other representative using the Platform.

They govern every stage of a project, including:

onboarding;

verification;

campaign review;

publication;

content moderation;

production;

fulfillment;

customer communications;

payment processing compliance; and

post-fulfillment obligations.

Nothing contained in these Guidelines alters the legal responsibilities established by the Client Terms of Service.

2. Compliance Philosophy

Dooz is committed to operating a trusted platform for illustrated creative works while maintaining compliance with applicable laws, payment processor requirements, banking requirements, and industry best practices.

To accomplish this, Dooz maintains a risk-based compliance program designed to:

protect customers;

support successful fulfillment;

reduce fraud;

comply with legal and regulatory obligations;

satisfy payment processor requirements;

reduce chargeback exposure;

protect intellectual property rights; and

preserve the long-term health of the Platform.

Compliance activities are intended to support—not replace—the legal responsibilities of each Client.

3. Client Onboarding & Verification

Participation on the Platform is subject to approval by Dooz.

As part of the onboarding process, Clients may be required to complete one or more verification procedures administered by Dooz or independent third-party service providers.

Depending upon the nature of the Client, campaign, products offered, applicable law, payment processor requirements, or assessed risk level, Dooz may require:

identity verification;

business verification;

beneficial ownership verification;

age verification where required by law;

sanctions screening;

anti-money laundering reviews;

source-of-funds inquiries;

enhanced due diligence;

tax documentation;

banking verification; and

other information reasonably necessary to establish eligibility.

Verification may occur:

before onboarding;

before campaign approval;

before payout;

after material changes to Client information;

periodically during the Client relationship;

following elevated dispute activity;

following fulfillment concerns; or

whenever Dooz reasonably determines that additional review is appropriate.

Verification is an ongoing process rather than a one-time event.

Failure to complete requested verification may result in delayed campaign approval, payout delays, reserve requirements, suspension, or termination as provided in the Client Terms of Service.

4. Campaign Approval

Every campaign is reviewed prior to publication.

Approval is intended to confirm that the campaign appears to satisfy Platform requirements at the time of review.

Campaign approval does not constitute:

legal approval;

endorsement;

certification;

verification of factual statements;

approval of future modifications; or

a guarantee that the campaign will remain eligible for continued operation.

Dooz may request additional information during review, including:

campaign descriptions;

artwork samples;

promotional materials;

licensing documentation;

fulfillment plans;

production schedules;

customer disclosures;

manufacturing information;

compliance questionnaires; or

other information reasonably necessary to evaluate eligibility.

Campaign approval remains subject to continuing compliance throughout the life of the project.

5. Ongoing Compliance Reviews

Compliance oversight continues after campaign approval.

Dooz may conduct additional reviews whenever reasonably necessary to satisfy legal obligations, payment processor requirements, operational needs, customer protection objectives, or Platform integrity.

Reviews may occur at significant project milestones, including:

approval of material campaign modifications;

review of substantially complete production files;

review of digital products prior to release;

review of production proofs or prototypes;

pre-fulfillment verification;

payout review;

post-fulfillment investigations; or

other circumstances presenting elevated operational or compliance risk.

Clients should promptly cooperate with reasonable requests for information or documentation during any review.

6. Campaign Operations

Campaign Runners are responsible for planning, managing, and executing their campaigns in a professional and commercially reasonable manner.

Campaign information should accurately describe the products being offered, estimated production schedules, expected fulfillment timelines, pricing, included items, shipping limitations, and any material risks that could reasonably affect customer expectations.

Campaign Runners should make commercially reasonable efforts to ensure that campaign descriptions, promotional materials, artwork previews, and product specifications remain accurate throughout the life of the campaign.

Material changes to a campaign should be communicated to Dooz before publication whenever reasonably practicable.

Dooz may request clarification or additional information regarding campaign materials where necessary to protect customers, comply with legal or payment processing requirements, or maintain Platform standards.

7. Production & Fulfillment Standards

Campaign Runners are responsible for managing production, manufacturing, printing, packaging, fulfillment, and delivery of the products offered through their campaigns.

While every project presents unique production challenges, Campaign Runners are expected to exercise commercially reasonable efforts to complete projects in accordance with the campaign descriptions presented to customers.

Campaign Runners should maintain reasonable production schedules and work proactively with vendors, manufacturers, printers, licensors, distributors, and fulfillment partners to minimize avoidable delays.

Dooz recognizes that production schedules may change due to circumstances outside a Campaign Runner's control. Unexpected delays do not automatically constitute a violation of these Guidelines, provided the Campaign Runner continues to act in good faith and communicates appropriately with both Dooz and customers.

8. Production Milestones & Progress Updates

To promote transparency and customer confidence, Campaign Runners are expected to provide meaningful progress updates throughout the production process.

Where applicable, updates should include significant milestones such as:

completion of writing;

completion of artwork;

completion of lettering and graphic design;

editorial completion;

licensing approvals;

files delivered for manufacturing;

proof approval;

manufacturing commencement;

manufacturing completion;

freight departure;

warehouse arrival;

fulfillment commencement;

fulfillment completion; and

other material production milestones appropriate to the project.

Not every milestone applies to every campaign.

Campaign Runners should instead provide updates appropriate to the nature and complexity of the products being produced.

Dooz may request additional status information whenever reasonably necessary to support customer communications, payment processing compliance, operational oversight, or risk management.

9. Delay Reporting & Customer Communications

Campaign Runners should promptly notify Dooz whenever they become aware of circumstances reasonably likely to materially affect fulfillment.

Examples include:

manufacturing delays;

supplier failures;

printer issues;

freight delays;

customs delays;

licensing complications;

significant quality control concerns;

unexpected production costs;

legal disputes affecting fulfillment;

fulfillment partner disruptions; or

other events likely to materially delay delivery.

Campaign Runners should communicate honestly, professionally, and in a timely manner with customers regarding material developments affecting campaign fulfillment.

Where estimated delivery dates change materially, Campaign Runners should provide revised estimates as soon as reasonably available.

Open, timely communication generally promotes customer confidence and reduces disputes and chargebacks.

10. Product Validation & Fulfillment Oversight

To promote customer confidence and verify that products substantially conform to campaign representations, Dooz may request materials reasonably necessary to validate campaign deliverables.

Depending upon the nature of the project, these materials may include:

digital master files;

print-ready files;

proofs;

prototypes;

production samples;

packaging proofs;

shipping confirmations;

fulfillment records;

photographs of finished products; or

other materials reasonably necessary to verify compliance.

Dooz may delay manufacturing authorization, fulfillment approval, payout release, or campaign completion pending receipt and review of requested materials where reasonably necessary to satisfy operational, legal, banking, or payment processing requirements.

Nothing in these Guidelines obligates Dooz to inspect every product, review every production file, or certify compliance for every campaign.

11. Record Retention

Campaign Runners should maintain complete and accurate records relating to their campaigns until fulfillment has concluded and for at least five (5) years thereafter, or longer where required by applicable law.

Such records may include:

production files;

layered artwork;

original illustrations;

scripts;

sketches;

drafts;

licensing agreements;

manufacturing records;

shipping documentation;

fulfillment records;

customer communications;

invoices;

accounting records; and

other documents reasonably necessary to demonstrate compliance with these Guidelines or the Client Terms of Service.

Upon reasonable request, Clients should provide such records to Dooz where necessary to investigate customer complaints, suspected fraud, intellectual property disputes, payment processor inquiries, regulatory requests, or other legitimate business purposes.

12. Cooperation During Investigations

Dooz may investigate reports involving policy violations, customer complaints, intellectual property claims, payment disputes, suspected fraud, fulfillment concerns, or other matters affecting the Platform.

Clients agree to cooperate in good faith with reasonable requests made during such investigations.

Without limiting the foregoing, Clients should not:

knowingly destroy or alter relevant records;

intentionally delete source materials subject to review;

knowingly submit false or misleading information;

interfere with Company investigations;

attempt to improperly influence complainants or witnesses; or

otherwise obstruct legitimate compliance activities.

Failure to cooperate may affect payout eligibility, campaign approval, or continued participation on the Platform.

13. Content Standards

Dooz exists to support independent publishers, writers, artists, studios, licensors, and other creative professionals producing original illustrated works and related products.

The Platform welcomes a broad range of artistic expression, including mature themes and adult-oriented illustrated content, provided such content complies with applicable law, these Guidelines, the Client Terms of Service, payment processor requirements, and Company policies.

Clients remain solely responsible for ensuring that all submitted content is lawful, accurate, properly licensed, and suitable for distribution through the Platform.

Acceptance of a campaign or product by Dooz does not constitute an endorsement of the content or a determination that the content complies with applicable law.

14. Human-Created Works & Artificial Intelligence Policy

Dooz is committed to supporting human creativity.

Accordingly, the Platform currently maintains a policy prohibiting the submission of creative works generated, in whole or in part, through generative artificial intelligence systems.

For purposes of these Guidelines, generative artificial intelligence includes technologies that generate, synthesize, or substantially create expressive content through prompts, machine learning models, diffusion models, large language models, or other automated systems.

Without limitation, this policy applies to:

illustrations;

comics and graphic novels;

sequential art;

character designs;

painted works;

visual storytelling;

marketing artwork;

cover art;

promotional assets; and

other expressive visual works.

Clients represent and warrant that submitted creative works are the product of human authorship and that they possess all rights necessary to commercialize such works.

To assist in enforcing this policy, Dooz may utilize:

automated detection technologies;

independent third-party review providers;

manual review;

requests for layered artwork;

sketches;

drafts;

work-in-progress materials;

production files; and

other reasonable verification methods.

Clients agree to cooperate with reasonable requests relating to suspected violations of this policy.

Dooz reserves the right to revise this policy as industry standards, legal requirements, technology, or Company policies evolve.

15. Depictions of Real Persons

Unless expressly approved by Dooz in writing, content submitted to the Platform may not depict identifiable real persons in sexually explicit, nude, exploitative, or otherwise sensitive contexts.

Without limitation, prohibited materials include:

photographs;

live-action video;

digitally altered photographs;

deepfakes;

face swaps;

unauthorized likenesses;

manipulated media intended to resemble identifiable individuals; and

other media that may reasonably be understood as depicting real persons.

Clients are responsible for ensuring that fictional characters cannot reasonably be mistaken for identifiable individuals.

16. Prohibited Content

To protect customers, creators, payment processing relationships, and the integrity of the Platform, certain categories of content are prohibited regardless of artistic style, narrative context, commercial value, or fictional setting.

Without limitation, prohibited content includes:

Sexual Exploitation of Minors

Any depiction, promotion, suggestion, or sexualization of minors or persons presented as minors is strictly prohibited.

This prohibition applies regardless of:

artistic style;

fantasy setting;

supernatural explanation;

fictional age;

reincarnation;

magical aging;

"actually over 18";

"1,000-year-old" narratives; or

similar attempts to circumvent these Guidelines.

Sexual Violence & Abuse

Content depicting, promoting, eroticizing, encouraging, or glorifying:

rape;

sexual assault;

non-consensual sexual activity;

incest;

grooming;

coercion;

exploitation of intoxication;

inability to consent; or

comparable conduct.

Exploitation & Criminal Conduct

Content depicting or promoting:

human trafficking;

sexual slavery;

bestiality;

necrophilia;

criminal sexual exploitation;

child exploitation;

illegal exploitation of vulnerable persons; or

any conduct unlawful to produce, possess, distribute, or sell.

Hate & Illegal Activity

Content primarily intended to:

promote violence;

encourage terrorism;

facilitate criminal conduct;

incite hatred against protected groups;

facilitate fraud;

distribute malicious software; or

violate applicable law.

Intellectual Property Violations

Content that knowingly infringes copyrights, trademarks, publicity rights, privacy rights, trade secrets, or other proprietary rights.

Payment Processor Restricted Content

Content prohibited by applicable payment processors, card networks, acquiring banks, or applicable law may be rejected or removed even if it might otherwise qualify under these Guidelines.

17. Content Moderation

Dooz maintains an ongoing moderation program designed to promote legal compliance, customer protection, and Platform integrity.

Moderation may occur:

before publication;

during campaign operation;

during production;

before fulfillment;

after fulfillment; or

whenever reasonably necessary.

Content review may include evaluation of:

artwork;

product listings;

campaign descriptions;

metadata;

keywords;

packaging;

promotional materials;

digital products; and

customer reports.

Dooz may utilize employees, contractors, independent third-party moderation providers, automated moderation technologies, or combinations thereof.

Moderation tools assist human decision-making but do not guarantee identification of every policy violation.

18. Enforcement & Appeals

Where Dooz reasonably believes that content or conduct violates these Guidelines, the Client Terms of Service, applicable law, payment processor requirements, or Platform policies, Dooz may take one or more corrective actions.

Such actions may include:

requesting clarification;

requiring additional documentation;

requesting modifications;

restricting discoverability;

rejecting submissions;

removing content;

suspending campaigns;

delaying payouts;

establishing reserves;

suspending shipment authorization;

terminating Client accounts;

notifying payment processors;

cooperating with governmental authorities; or

pursuing any other remedy available under applicable agreements or law.

Where appropriate, Dooz may employ progressive enforcement measures. However, Dooz reserves the right to take immediate action where reasonably necessary to protect customers, comply with legal obligations, satisfy payment processor requirements, prevent fraud, or protect the integrity of the Platform.

Appeals

Clients may request reconsideration of moderation or enforcement decisions by providing additional information or documentation supporting their position.

Submission of an appeal does not obligate Dooz to reverse, modify, or delay any enforcement action.

All moderation and enforcement decisions are made in Dooz's reasonable business judgment and, except where prohibited by applicable law, are final.

19. Optional Services

Participation on the Platform provides access to Dooz's core technology, campaign administration, payment processing, and related platform services.

Unless expressly set forth in a separate written Services Agreement, Dooz is not obligated to provide any additional professional services, including, without limitation:

editorial services;

creative development;

graphic design;

marketing or advertising;

public relations;

campaign consulting;

manufacturing coordination;

printing services;

freight coordination;

warehousing;

fulfillment services;

distribution services;

licensing services;

inventory management; or

other professional or consulting services.

Where Dooz agrees to provide additional services, the scope of such services, applicable fees, timelines, deliverables, and responsibilities shall be governed exclusively by the applicable Services Agreement.

Nothing contained in these Guidelines expands the scope of services beyond those expressly agreed upon in writing.

20. No Endorsement

The publication, promotion, sale, moderation, review, or continued availability of any campaign or product through the Platform does not constitute:

endorsement by Dooz;

approval of the viewpoints expressed;

verification of factual claims;

certification of legal compliance;

confirmation of intellectual property ownership;

approval of production methods;

approval of manufacturing quality; or

a guarantee that a campaign or product complies with applicable law.

All statements, representations, campaign descriptions, artwork, products, pricing, fulfillment commitments, and other content remain solely the responsibility of the applicable Client.

Customers should evaluate campaigns using their own independent judgment.

21. Platform Operations

These Guidelines describe the operational standards used by Dooz in administering the Platform.

While Dooz maintains onboarding procedures, compliance reviews, content moderation, payment controls, fulfillment oversight, and customer protection measures, no operational process can eliminate every risk associated with online commerce.

Accordingly, Dooz does not guarantee:

acceptance of any campaign for publication;

uninterrupted Platform availability;

approval by payment processors or financial institutions;

campaign success or commercial performance;

manufacturing schedules;

delivery dates;

fulfillment performance by Clients;

product quality;

customer satisfaction;

prevention of all fraudulent activity;

detection of every policy violation; or

uninterrupted availability of third-party services.

Dooz administers these Guidelines in good faith and in a commercially reasonable manner based upon the information reasonably available at the time decisions are made.

Operational decisions may evolve as business practices, legal requirements, payment processor standards, banking requirements, technology, or industry best practices change.

22. Client Acknowledgment

By using the Platform, each Client acknowledges and agrees that:

these Guidelines form part of the contractual relationship between Client and Dooz;

Client has read and understands these Guidelines;

Client agrees to comply with these Guidelines and all other applicable Platform documents;

continued participation on the Platform is conditioned upon ongoing compliance with Company policies;

Dooz may conduct ongoing compliance reviews throughout the Client relationship;

Dooz may utilize independent third-party service providers in support of identity verification, business verification, compliance reviews, content moderation, fraud prevention, payment processing, risk management, and other operational functions;

failure to comply with these Guidelines or the Client Terms of Service may result in corrective action, enhanced review, reserve requirements, delayed payouts, content removal, campaign suspension, account termination, customer remediation efforts, legal action, or any other remedies available under applicable agreements or law.

Dooz's objective is to maintain a trusted platform that supports independent publishers, writers, artists, licensors, studios, and other creative professionals while protecting customers, maintaining compliance with applicable law, satisfying payment processing requirements, and preserving the long-term integrity of the Platform.

The Company appreciates the cooperation of every Client in helping achieve these objectives.
